Our corporate commercial team has extensive mergers and acquisitions transactional experience over the whole spectrum of industries and client types. Members of our team have led transactions ranging from small local acquisitions to complex multi-jurisdictional deals.

The team also has significant private equity experience, acting for private equity funds and portfolio companies alike. We have worked with clients at every stage of the investment process, from seed and early stage venture capital to growth and exit, including by way of trade sale, secondary buyout and listing.

Mergers and Acquisitions

  • Advising Recovre Holdings Pty Ltd in relation to the acquisition of three medical reporting companies (2008)
  • Advising Logistics Recruitment Solutions Group on the disposal of two of its Australian divisions (2008)
  • Advising a vendor in $56 million sale of Infocomp Holdings Pty Ltd to listed buyer (2007)
  • Advising Bradken Limited (2006/2007) on a number of share and asset acquisitions in Western Australian, Queensland, Tasmania and New South Wales.
  • Advising a listed Australian steel manufacturer (2007) on a proposed acquisition of coal mine assets including relevant mining and property law advice, business asset due diligence and assignment / re-negotiation of key contractual arrangements
  • Advising Australian subsidiaries of a UK listed client on a strategic divestment followed by a series of acquisitions by way of a share and asset purchase (2006/2007) in the manufacturing / metal fabrication sector
  • Advising a national health insurance fund (2006) on the sale of a private hospital. The transaction, involved a complex Hospital Management arrangement, deferred completion of the sale of the Hospital business and a restructure of real property and business contracts.

Private Equity

  • Advising a Southern Cross Venture Partners in relation to its investments in Risk Management and Safety Systems Pty Ltd (2008) and Think Software Pty Ltd (2007)
  • Advising Hawkesbridge Private Equity and its portfolio company Recovre Holdings Pty Ltd in relation to the acquisition of MLO Holdings Pty Ltd (2008)
  • Advising CHAMP Ventures on the restructure of its holdings in a prominent retail group (2007)
  • Advising a large unlisted company with private equity funding involved in provision of services to the mining industry on a number of strategic acquisitions
  • Advising UGM Mining Solutions (2007) on a 30% sell down of shares to a private equity institutional fund. Client now proceeding with a number of acquisitions in the Mining and Resources sector
  • Advising a Venture Capital Fund (2006) on a secondary management buy out of a private manufacturing and international sales business. The investment funded the replacement of an existing private equity investor. The venture capital fund (a $115 million institutional fund) acquired 70% of the shares in the company
  • Advising Tesa Group (2006) and its private equity investor shareholder (Advent Private Capital) on all roll up acquisitions and subsequent sale to Skilled Engineering Limited.
