Capital Raising

• Advising Coalworks Limited on its initial public offer and listing on the ASX (2008).
• Advising SP Telecommunications Limited (former subsidiary of WH Soul Pattinson Limited) in relation to its IPO and ASX listing, including preparation of prospectus and chairing the due diligence committee. Involved in subsequent mergers and acquisition post listing, including acquisition due diligence.
• Advising Kip McGrath Education Centres Limited in relation to its IPO and listing on the ASX.
• Advising Clover Corporation Limited on the ASX and the subsequent listing of the company on the United Kingdom Alternative Investment Market Listing.
• Advising Investec Bank Limited in relation to its equity stake in a number of entities, with a view to the future listing of those entities on the ASX.

Contracting, Franchising & Projects

• Advising an international brewer in relation to the establishment of brewhouse franchises in Australia including preparation of the franchise agreements, Franchise Code compliance plan, liquor license and planning law advice.
• Acting for a national steel product producer in relation to a number of strategic procurement, tender and contracting matters including (NSW gas supply, electricity, transport and logistics management).
• Advising on the commercialisation of patented medical technology in conjunction with the Western Sydney Area Health Service including sourcing private equity investors, restructure of the corporate group, negotiating manufacturing and distribution rights.
• Acting for Hyundai Motor Corporation Australia Pty Limited on changes to their dealer franchise network; including redrafting of master dealer franchise agreements and advising on termination of non-performing franchisees.
